Terms and Conditions

These Terms and Conditions govern the use of the MINOMO application, accessible at app.minomo.io and through its native applications. By using the App, the user fully accepts these Terms, the Privacy Policy and the Refund Policy.

1. Introduction

The App is developed and operated by AVi Kairos Srl, with registered office at Strada Lungă 188, Corp C2, Ap. 2, Brașov 500051, Romania, CUI 52477194, J08/68/2025, EUID ROONRC.J2025068492002 ("MINOMO", "we", "our").

2. Description of the Service

The MINOMO App is a consumer platform that allows users to:

• Discover businesses and professionals through the Discovery feature (interactive map and list)
• Follow merchant pages to receive updates and push notifications
• Earn loyalty points through the Loyalty programme at participating businesses
• Convert points into discount vouchers redeemable at participating merchants
• Receive push notifications with offers, promotions and communications from followed merchants and the MINOMO network
• Explore tourist and commercial points of interest (POI) by city and category
• Use MINA, MINOMO's AI virtual guide, for personalised tour generation and other tourist assistance features
• Manage your notification preferences, interests and profile

The App is free to use in its basic features.

3. Access requirements and registration

3.1 Minimum age

The App is intended exclusively for persons aged 16 years or older. By using the App, the user declares and warrants that they are at least 16 years old. For users aged between 16 and 18, use of the App is permitted with the consent of a parent or legal guardian. If MINOMO becomes aware of use by a person under 16, the account will be immediately suspended and the data deleted.

3.2 Registration

Access to certain features requires registration via email address and OTP (One-Time Password) verification. The user is required to:

• Provide accurate and truthful information
• Maintain the confidentiality of their access credentials
• Promptly report any unauthorised access to [email protected]

3.3 Devices

The user may register multiple devices associated with their account. Each device is identified by a unique code generated by the App.

4. Push Notifications

4.1 Consent

By using the App and enabling push notifications, the user consents to receiving push communications from MINOMO, including:

• Direct notifications from followed merchants
• Broadcast communications from the MINOMO network, based on location and selected interest categories
• Service communications relating to account, updates and security

4.2 Preference management

The user has full control to:

• Select and deselect interest categories to filter broadcast communications received
• Pause notifications from specific merchant pages, without unfollowing them
• Unfollow any merchant to permanently stop receiving notifications
• Completely disable push notifications from browser or device settings

4.3 Nature of communications

Broadcast notifications may contain commercial and promotional content from third-party merchants. MINOMO acts as a technological intermediary in delivering such communications, but is not responsible for content created by merchants.

5. Loyalty Programme

5.1 How it works

The Loyalty programme allows users to earn loyalty points at participating merchants who have activated a Loyalty campaign on the MINOMO platform.

5.2 Earning points

Points are credited by scanning the QR code of the user's digital loyalty card at the merchant, according to the rules and conversion ratios independently set by each merchant.

5.3 Conversion and use

Accumulated points can be converted into discount vouchers redeemable exclusively at the participating business that issued them. Points:

• Have no direct monetary value and are not convertible into money
• Are not transferable between users or between different merchants
• May have an expiry date, determined by the individual merchant
• Are subject to the specific conditions of the individual merchant

5.4 Liability

MINOMO provides the technological infrastructure for the Loyalty programme. The commercial relationship concerning the provision of the discount is exclusively between the user and the merchant. MINOMO is not responsible for:

• Refusal by the merchant to accept vouchers
• Modification or termination of Loyalty campaigns by the merchant
• Quality of products or services purchased through vouchers

6. Content and intellectual property

6.1 Platform ownership

The MINOMO App, including its design, source code, logos, trademarks, graphics and all original content, is the exclusive property of AVi Kairos Srl. The user is granted a limited, revocable, non-exclusive and non-transferable licence for personal use of the App.

6.2 Third-party content

Content published by merchants is the sole responsibility of the respective authors. MINOMO does not verify nor guarantee the accuracy, legality or quality of such content.

6.3 Prohibitions

The user agrees not to:

• Copy, modify, decompile or reverse engineer the App
• Use automated systems (bots, scrapers) to access the App
• Attempt to circumvent the App's security measures
• Use the MINOMO trademark or associated materials without written authorisation

7. Limitation of liability

The App is provided "as is" and "as available". MINOMO does not guarantee that the service will be uninterrupted, error-free or secure at all times.

To the maximum extent permitted by law, MINOMO disclaims all warranties, express or implied. MINOMO's total liability to the user shall not exceed the amount of €100 or the amount actually paid by the user in the last 12 months, whichever is greater.

MINOMO is not liable for indirect, incidental, special, consequential or punitive damages, including loss of data, profits or business opportunities.

8. Third-party services

The App may integrate or link to third-party services, including:

• Paddle — payment processing (Merchant of Record)
• AWS CloudFront — content distribution
• Google Maps — navigation and location
• Social login — Google, Facebook, Apple

Use of such services is subject to their respective terms and conditions.

9. Account suspension and termination

9.1 By the user

The user may at any time stop using the App or request deletion of their account via the dedicated function in settings or by contacting [email protected].

9.2 By MINOMO

MINOMO reserves the right to suspend or close the user's account in case of violation of these Terms, fraudulent or abusive use, behaviour harmful to the platform or request by competent authorities.

10. Changes to the Terms

MINOMO reserves the right to update these Terms at any time. Substantial changes will be communicated via in-App notification or email. Continued use of the App after notification constitutes acceptance of the updated Terms.

11. Applicable law and jurisdiction

These Terms are governed by Romanian law. For any dispute, exclusive jurisdiction shall lie with the Court of Brașov, Romania.

11.1 Alternative dispute resolution

For consumers residing in the European Union:

• You may contact ANPC for alternative dispute resolution (ADR)
• You may use the EU ODR platform at ec.europa.eu/consumers/odr
• You may contact your local consumer protection authority
